Under the European Merger Regulation, the European Commission has authorized the acquisition of joint control of Bluevia Fibra S.L. (“Bluevia”) by Telefónica S.A., both based in Spain, Prévoyance Dialogue du Crédit Agricole S.A. (“Predica”) and Vauban Infrastructure Partners S.C.A. (“Vauban”), both based in France.
Bluevia will operate and operate a fiber-to-the-home (FTTH) network in rural and other sparsely populated areas of Spain. Telefónica is active in the telecommunications, media, and entertainment sectors, and focuses on cable and wireless telephony services. Predica is a life and health insurance company owned by Crédit Agricole Group. Vauban is a European management company specializing in infrastructure investments and, in particular, in the design, construction, maintenance, financing and operation of essential infrastructure in the transport, social action, digitalization and community services sectors.

The Commission has concluded that the proposed acquisition does not raise competition concerns as the transaction does not create any horizontal or vertical overlap between the parties to the concentration. The transaction has been examined under the simplified merger control procedure.
