The Implementing Regulation details procedural aspects of the implementation of the FSR. It also contains notification forms for concentrations involving foreign financial contributions and for foreign financial contributions in public procurement\u00a0<a name=\"_Hlk139531382\"><\/a>procedures.<\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.cde.ual.es\/wp-content\/uploads\/2019\/02\/flag-3370970_1280.jpg\"><img decoding=\"async\" class=\"size-full wp-image-13985 aligncenter\" src=\"https:\/\/www.cde.ual.es\/wp-content\/uploads\/2019\/02\/flag-3370970_1280.jpg\" alt=\"Bandera Uni\u00f3n Europea ondeando\" width=\"1280\" height=\"853\" srcset=\"https:\/\/www.cde.ual.es\/wp-content\/uploads\/2019\/02\/flag-3370970_1280.jpg 1280w, https:\/\/www.cde.ual.es\/wp-content\/uploads\/2019\/02\/flag-3370970_1280-300x200.jpg 300w, https:\/\/www.cde.ual.es\/wp-content\/uploads\/2019\/02\/flag-3370970_1280-768x512.jpg 768w, https:\/\/www.cde.ual.es\/wp-content\/uploads\/2019\/02\/flag-3370970_1280-1024x682.jpg 1024w\" sizes=\"(max-width: 1280px) 100vw, 1280px\" \/><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>The Implementing Regulation<\/strong><\/p>\n<p style=\"text-align: justify;\">The Implementing Regulation adopted takes into account the feedback received during the one-month<a href=\"https:\/\/www.cde.ual.es\/en\/commission-seeks-feedback-on-the-implementation-of-the-foreign-subsidies-regulation\/\"> public consultation\u00a0period that took place between 6 February 2023 and 6 March 2023<\/a>. In particular, as mandated by the FSR, it addresses respondents&#8217; requests to limit the administrative burden related to notifications.<\/p>\n<p style=\"text-align: justify;\">The Foreign Subsidies Regulation sets out an obligation for companies to notify:<\/p>\n<ul style=\"text-align: justify;\">\n<li>concentrations where the acquired company, one of the merging parties, or the joint venture is established in the Union and generates an EU turnover of at least \u20ac500 million and where the parties to the transaction were granted combined aggregate foreign financial contributions of at least \u20ac50 million over the past 3 years;<\/li>\n<li>foreign financial contributions in public procurements\u00a0procedures, where the estimated contract value is at least \u20ac250 million and the bid involves combined aggregate foreign financial contribution of at least \u20ac4 million per third country over the past 3 years.<\/li>\n<\/ul>\n<p style=\"text-align: justify;\">The Implementing Regulation, and in particular the notification forms, detail the reporting obligations of notifying parties, specifying the information that needs to be included in the notification forms for concentrations and public procurement procedures. In particular:<\/p>\n<ul style=\"text-align: justify;\">\n<li>For concentrations, companies have to report:\n<ul>\n<li>for foreign financial contributions which are considered by the FSR as the most likely to distort the internal market (such as those granted to ailing undertakings, those directly facilitating a concentration or unlimited guarantees, also known as \u201cArticle 5 financial contributions\u201d), detailed information on all financial contributions of an individual amount of at least \u20ac1 million, granted to the parties to the transaction over the past 3 year;<\/li>\n<li>for all other foreign financial contributions, an overview of financial contributions granted to the notifying party\/ies over the past 3 years, of an individual amount of a least \u20ac1 million and in relation only to those countries that have granted to the parties to the transaction at least \u20ac45 million over the 3 years before the concentration, subject to a number of exceptions.<\/li>\n<\/ul>\n<\/li>\n<li>For foreign financial contributions in public procurement procedures, companies have to report:\n<ul>\n<li>for foreign financial contributions, detailed information on all financial contributions falling under Article 5 of at least \u20ac1 million individually granted to the notifying party\/ies in the three years prior to the notification;<\/li>\n<li>for all other foreign financial contributions, an overview of financial contributions granted to the notifying party\/-ies of an individual amount of a least \u20ac1 million and in relation only to those countries that have granted to each of the notifying party\/ies at least \u20ac4 million per country over the 3 years prior to the notification.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<table style=\"width: 99.9988%; border-collapse: collapse; border-style: double; border-color: #001f7d;\" cellpadding=\"0,5\">\n<tbody>\n<tr>\n<td style=\"width: 100%;\"><a href=\"https:\/\/www.cde.ual.es\/en\/commission-seeks-feedback-on-the-implementation-of-the-foreign-subsidies-regulation\/\" target=\"_blank\" rel=\"noopener\"><img decoding=\"async\" class=\"alignleft\" src=\"https:\/\/www.cde.ual.es\/wp-content\/uploads\/2022\/12\/markus-spiske-wIUxLHndcLw-unsplash-1024x604.jpg\" alt=\"\" width=\"201\" height=\"134\" \/><\/a><\/p>\n<h4 class=\"entry-title\"><a href=\"https:\/\/www.cde.ual.es\/en\/commission-seeks-feedback-on-the-implementation-of-the-foreign-subsidies-regulation\/\" target=\"_blank\" rel=\"noopener\">Commission seeks feedback on the implementation of the Foreign Subsidies Regulation<\/a><\/h4>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p style=\"text-align: justify;\">\n<p style=\"text-align: justify;\">Moreover, the Implementing Regulation provides detailed rules on:<\/p>\n<ul style=\"text-align: justify;\">\n<li>the\u00a0<strong>procedure<\/strong>\u00a0for notifications to the Commission of concentrations and of participation in public procurement involving foreign financial contributions. This includes the notification forms for each procedure, the person entitled to submit a notification and the effective date of notification;<\/li>\n<li>the Commission&#8217;s\u00a0<strong>investigation process<\/strong>, including procedures to be followed by companies for submitting commitments\u00a0<a name=\"_Hlk139531535\"><\/a>to address possible concerns of the Commission;<\/li>\n<li>the\u00a0<strong>procedural rights of the parties<\/strong>\u00a0regarding the protection of confidential information, access to files and submission of observations;<\/li>\n<li>the calculation and suspension of\u00a0<strong>time limits<\/strong>\u00a0for the provision of information and submission of commitments;<\/li>\n<li>the\u00a0<strong>transmission and signature<\/strong>\u00a0of documents by notifying parties to the Commission through digital means, where relevant.<\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><strong>Next Steps<\/strong><\/p>\n<p style=\"text-align: justify;\">The FSR will start to apply from 12 July 2023. As of 12 October 2023, companies will have to notify concentrations and participation in public procurement procedures involving foreign financial contributions and meeting the relevant notification thresholds.<\/p>\n<p style=\"text-align: justify;\"><strong>Background \u00a0<\/strong><\/p>\n<p style=\"text-align: justify;\">The FSR allows the Commission to investigate financial contributions granted by non-EU countries to companies operating in the EU and redress, if needed, their distortive effects. It empowers the Commission to adopt procedural rules in relation to the enforcement of the FSR.<\/p>\n<p style=\"text-align: justify;\">The FSR was proposed by the Commission in\u00a0<a href=\"https:\/\/ec.europa.eu\/competition\/international\/overview\/proposal_for_regulation.pdf\">May 2021<\/a>\u00a0and agreed by the European Parliament and the Council in record-time, in\u00a0<a href=\"https:\/\/ec.europa.eu\/commission\/presscorner\/detail\/e%20n\/ip_22_4190\">June 2022<\/a>.
