Amazon&#8217;s commitments address the Commission&#8217;s competition concerns over Amazon&#8217;s use of non-public marketplace seller data and over a possible bias in granting to sellers access to its Buy Box and its Prime programme.<\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/www.cde.ual.es\/wp-content\/uploads\/2022\/12\/amazon-scaled.jpg\"><img decoding=\"async\" class=\" wp-image-127262 aligncenter\" src=\"https:\/\/www.cde.ual.es\/wp-content\/uploads\/2022\/12\/amazon-1024x683.jpg\" alt=\"tel\u00e9fono con el logo de amazon en la pantalla\" width=\"534\" height=\"356\" srcset=\"https:\/\/www.cde.ual.es\/wp-content\/uploads\/2022\/12\/amazon-1024x683.jpg 1024w, https:\/\/www.cde.ual.es\/wp-content\/uploads\/2022\/12\/amazon-300x200.jpg 300w, https:\/\/www.cde.ual.es\/wp-content\/uploads\/2022\/12\/amazon-768x512.jpg 768w, https:\/\/www.cde.ual.es\/wp-content\/uploads\/2022\/12\/amazon-1536x1024.jpg 1536w, https:\/\/www.cde.ual.es\/wp-content\/uploads\/2022\/12\/amazon-2048x1365.jpg 2048w\" sizes=\"(max-width: 534px) 100vw, 534px\" \/><\/a><\/p>\n<p style=\"text-align: justify;\"><strong>The Commission&#8217;s concerns<\/strong><\/p>\n<p style=\"text-align: justify;\"><a href=\"https:\/\/ec.europa.eu\/commission\/presscorner\/detail\/en\/IP_19_4291\">In July 2019<\/a>, the Commission opened a formal investigation into Amazon&#8217;s\u00a0<strong>use of non-public data<\/strong>\u00a0of its marketplace sellers.\u00a0<a href=\"https:\/\/ec.europa.eu\/commission\/presscorner\/detail\/en\/ip_20_2077\">On 10 November 2020<\/a>, the Commission adopted a Statement of Objections in which it preliminarily found Amazon dominant on the French and German markets, for the provision of online marketplace services to third-party sellers. It also found that that Amazon&#8217;s reliance on marketplace sellers&#8217; non-public business data to calibrate its retail decisions, distorted fair competition on its platform and prevented effective competition.<\/p>\n<p style=\"text-align: justify;\">In parallel, on\u00a0<a href=\"https:\/\/ec.europa.eu\/competition\/antitrust\/cases\/dec_docs\/40703\/40703_67_4.pdf\">10 November 2020<\/a>, the Commission opened a second investigation to assess whether the criteria that Amazon sets to select the winner of the\u00a0<strong>Buy Box<\/strong>\u00a0and to enable sellers to offer products under its\u00a0<strong>Prime Programme<\/strong>, lead to preferential treatment of Amazon&#8217;s retail business or of the sellers that use Amazon&#8217;s logistics and delivery services.<\/p>\n<p style=\"text-align: justify;\">In the second investigation, the Commission preliminarily concluded that Amazon abused its dominance on the French, German and Spanish markets for the provision of online marketplace services to third-party sellers.<\/p>\n<table style=\"width: 99.9988%; border-collapse: collapse; border-style: double; border-color: #001f7d;\" cellpadding=\"0,5\">\n<tbody>\n<tr>\n<td style=\"width: 100%;\"><a href=\"https:\/\/www.cde.ual.es\/en\/cjeu-online-traders-must-provide-information-about-the-product-guarantee\/\" target=\"_blank\" rel=\"noopener\"><img decoding=\"async\" class=\"alignleft\" src=\"https:\/\/www.cde.ual.es\/wp-content\/uploads\/2022\/05\/online-shopping-gab9b0891a_1920-768x576.jpg\" alt=\"\" width=\"201\" height=\"134\" \/><\/a><\/p>\n<h4 class=\"entry-title\"><a href=\"https:\/\/www.cde.ual.es\/en\/cjeu-online-traders-must-provide-information-about-the-product-guarantee\/\" target=\"_blank\" rel=\"noopener\">CJEU: Online traders must provide information about the product guarantee<\/a><\/h4>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p style=\"text-align: justify;\">It also preliminarily concluded that Amazon&#8217;s rules and criteria for the Buy Box and Prime unduly favour its own retail business, as well as marketplace sellers that use Amazon&#8217;s logistics and delivery services.<\/p>\n<p style=\"text-align: justify;\"><strong>The commitments<\/strong><\/p>\n<p style=\"text-align: justify;\">To address the Commission&#8217;s competition concerns in relation to both investigations, Amazon initially offered the following commitments:<\/p>\n<p style=\"text-align: justify;\"><strong>To address the data use concern,<\/strong>\u00a0Amazon proposed to commit:<\/p>\n<ul style=\"text-align: justify;\">\n<li>not to use non-public data relating to, or derived from, the independent sellers&#8217; activities on its marketplace, for its retail business. This applies to both Amazon&#8217;s automated tools and employees that could cross-use the data from Amazon Marketplace, for retail decisions;<\/li>\n<li>not to use such data for the purposes of selling branded goods as well as its private label products.<\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><strong>To address the Buy Box concern,<\/strong>\u00a0Amazon proposed to commit to:<\/p>\n<ul style=\"text-align: justify;\">\n<li>treat all sellers equally when ranking the offers for the purposes of the selection of the Buy Box winner;<\/li>\n<li>display a second competing offer to the Buy Box winner if there is a second offer from a different seller that is sufficiently differentiated from the first one on price and\/or delivery. Both offers will display the same descriptive information and provide the same purchasing experience.<\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><strong>To address the Prime concerns<\/strong>\u00a0Amazon proposed to commit to:<\/p>\n<ul style=\"text-align: justify;\">\n<li>set non-discriminatory conditions and criteria for the qualification of marketplace sellers and offers to Prime;<\/li>\n<li>allow Prime sellers to freely choose any carrier for their logistics and delivery services and negotiate terms directly with the carrier of their choice;<\/li>\n<li>not use any information obtained through Prime about the terms and performance of third-party carriers, for its own logistics services.<\/li>\n<\/ul>\n<table style=\"width: 99.9988%; border-collapse: collapse; border-style: double; border-color: #001f7d;\" cellpadding=\"0,5\">\n<tbody>\n<tr>\n<td style=\"width: 100%;\"><a href=\"https:\/\/www.cde.ual.es\/en\/ability-to-cancel-your-amazon-prime-subscription-with-just-two-clicks\/\" target=\"_blank\" rel=\"noopener\"><img decoding=\"async\" class=\"alignleft\" src=\"https:\/\/www.cde.ual.es\/wp-content\/uploads\/2022\/07\/farewell-3258939_1920-768x390.jpg\" alt=\"\" width=\"201\" height=\"134\" \/><\/a><\/p>\n<h4 class=\"entry-title\"><a href=\"https:\/\/www.cde.ual.es\/en\/ability-to-cancel-your-amazon-prime-subscription-with-just-two-clicks\/\" target=\"_blank\" rel=\"noopener\">Ability to cancel your Amazon Prime subscription with just two clicks<\/a><\/h4>\n<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p>Between 14 July 2022 and 9 September 2022, the Commission\u00a0<a href=\"https:\/\/ec.europa.eu\/commission\/presscorner\/detail\/en\/ip_22_4522\">market tested Amazon&#8217;s commitments<\/a>\u00a0and consulted all interested third parties to verify whether they would remove its competition concerns. In light of the outcome of this market test, Amazon amended the initial proposal and committed to:<\/p>\n<ul style=\"text-align: justify;\">\n<li><strong>Improve\u00a0<\/strong>the<strong>\u00a0presentation\u00a0<\/strong>of the<strong>\u00a0second competing Buy Box offer\u00a0<\/strong>by making it more prominent and to include a\u00a0<strong>review mechanism<\/strong>\u00a0in case the presentation is not attracting adequate consumer attention;<\/li>\n<li><strong>Increase\u00a0<\/strong>the<strong>\u00a0transparency<\/strong>\u00a0and\u00a0<strong>early information flows<\/strong>\u00a0to sellers and carriers about the commitments and their newly acquired rights, enabling, amongst others, early switching of sellers to independent carriers;<\/li>\n<li>Lay out the means for\u00a0<strong>independent carriers to directly contact their Amazon customers<\/strong>, in line with data-protection rules, enabling them to provide equivalent delivery services to those offered by Amazon;<\/li>\n<li><strong>Improve carrier data<\/strong>\u00a0<strong>protection\u00a0<\/strong>from use by Amazon&#8217;s competing logistics services, in particular concerning cargo profile information;<\/li>\n<li><strong>Increase\u00a0<\/strong>the<strong>\u00a0powers\u00a0<\/strong>of the<strong>\u00a0monitoring trustee<\/strong>\u00a0by introducing further notification obligations;<\/li>\n<li>Introduce a\u00a0<strong>centralised complaint mechanism<\/strong>, open to all sellers and carriers in case of suspected non-compliance with the commitments.<\/li>\n<li><strong>Increase\u00a0<\/strong>to<strong>\u00a0seven years<\/strong>, instead of the initially proposed five years, the<strong>\u00a0duration\u00a0<\/strong>of the<strong>\u00a0commitments relating to Prime and the second competing Buy Box offer<\/strong>.<\/li>\n<\/ul>\n<p style=\"text-align: justify;\">The Commission found that Amazon&#8217;s final commitments will ensure that Amazon does not use marketplace seller data for its own retail operations and that it grants non-discriminatory access to Buy Box and Prime. The Commission decided to make them legally binding on Amazon.<\/p>\n<p style=\"text-align: justify;\">The offered commitments cover all Amazon&#8217;s current and future marketplaces in the European Economic Area. They exclude Italy for the commitments relating to the Buy Box and Prime in view of the decision of 30 November 2021 of the Italian competition authority imposing remedies on Amazon with regard to the Italian market.<\/p>\n<p style=\"text-align: justify;\">The final commitments will remain in force for seven years in relation to Prime and the display of the second competing Buy Box offer, and five years for the remaining parts of the commitments. Under supervision of the Commission, an independent trustee will be in charge of monitoring the implementation and compliance with the commitments.<\/p>\n<p style=\"text-align: justify;\">If Amazon were to breach the commitments, the Commission could impose a fine of up to 10% of Amazon&#8217;s total annual turnover, without having to find an infringement of EU antitrust rules or a periodic penalty payment of 5% per day of Amazon&#8217;s daily turnover for every day of non-compliance.<\/p>\n<p style=\"text-align: justify;\"><strong>More information: <a href=\"https:\/\/ec.europa.eu\/commission\/presscorner\/detail\/es\/ip_22_7777\">European Commission<\/a><\/strong><\/p>\n","protected":false},"excerpt":{"rendered":"<p>The European Commission has made commitments offered by Amazon legally binding under EU antitrust rules.
